Biography
Philip Kinkaid has over 25 years of experience as a business attorney. He has represented clients in the formation and capitalization of new companies, the purchase and sale of businesses and assets, the restructuring of existing companies, and the creation of ventures and alliances. His clients have included energy companies, manufacturers, wholesalers and distributors, private equity firms, institutional and private investors, and financial institutions, among others.
Philip's energy clients have included companies in the upstream, midstream, and downstream sectors of the oil and gas industry, as well as oilfield service companies and energy investment funds. In the upstream energy sector, Philip has assisted clients in acquisitions and divestitures of shale and other oil and gas properties, joint ventures, carried-interest arrangements, joint development and participation agreements, long-term commodity sale agreements, structured and tax-advantaged transactions, and joint operating agreements and other operational agreements. In the midstream energy sector, Philip has assisted clients in the development of new facilities including a major cross-border natural gas pipeline, the acquisition and divestiture of existing pipelines and plants, and the negotiation of long-term contracts for gathering, processing, transportation, and other midstream services.
Philip has significant experience in the use of partnerships and limited liability companies for a broad range of transactions, from the formation of startup companies and the reorganization of family-owned businesses, to the structuring and negotiation of multinational joint ventures.
Philip has also assisted clients in a variety of real estate matters, including the acquisition and divestiture of industrial facilities and sites, brownfield redevelopment, complex title issues, and the preservation and transfer of water rights.
Before joining Burleson, Philip practiced law for 17 years with Vinson & Elkins L.L.P. in Houston, and he served as an independent counsel to ExxonMobil Corporation's real estate law group from 2004 to 2009.
